PHD Capital has no control over third-party websites or content and will have no liability arising out of or related to them. The existence of a link does not constitute an endorsement of the website, its content, or its operator. PHD Capital provides links only as a convenience, and you release and hold PHD Capital harmless from liability arising from your use of any third-party website or service.

PHD Capital reviews a large number of research, company, investment, intellectual property, and commercialization materials, and many submissions may be similar to other ideas, technologies, companies, or opportunities we review. Unless we have entered into a separate written confidentiality agreement with you, information and materials submitted to PHD Capital will not be treated as confidential or proprietary.

By submitting information or materials to PHD Capital, you represent that you have the right to share them with us and that our review of those materials does not restrict us from evaluating, financing, developing, advising, or pursuing any opportunity, alone or with others, including opportunities that may be similar or related to your submission.

If your submission includes sensitive intellectual property, unpublished research, patentable material, trade secrets, or institution-owned technology, you are responsible for ensuring that you have appropriate authority and protection in place before disclosure.

Any use of titles such as Partner, Venture Partner, Advisor, Fellow, Principal, Associate, or similar labels on the Services is for business identification only. Those titles do not necessarily indicate that a person is a legal partner, general partner, employee, officer, fiduciary, or decision-maker of any PHD Capital entity unless expressly stated in a separate written agreement.

Nothing on the Services constitutes an offer to sell, a solicitation of an offer to buy, or a recommendation to purchase any security or investment product. Nothing on the Services should be relied on as investment, legal, tax, accounting, scientific, regulatory, medical, engineering, technical, or other professional advice.

To the fullest extent permitted by applicable law, you agree to indemnify and hold PHD Capital, its affiliates, officers, agents, employees, advisors, and partners harmless from and against claims, liabilities, damages, losses, and expenses arising from or related to your use of the Services, your submissions, your violation of these Terms, or your violation of any third-party rights.

These Terms are the complete and exclusive statement of the mutual understanding between you and PHD Capital regarding the Services and supersede prior agreements or understandings about that subject matter, except for separate written agreements signed by PHD Capital that expressly govern a specific relationship or transaction.

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles. Any disputes relating to these Terms or the Services shall be resolved exclusively in courts of competent jurisdiction in Nigeria. If any provision of these Terms is found unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining Terms will remain in full force and effect.
